Terms and Conditions of Use

This English version is provided for accessibility to international users. In the event of an inconsistency, the Spanish version will prevail to the extent permitted by applicable law.

1. Purpose and scope

These Terms and Conditions of Use govern access to and use of finnex.mx, FINNEX OS, portals, interfaces, forms, features, content and other digital services operated by FINNEX CAPITAL, S.A.S. (“FINNEX”).

Browsing public areas does not by itself create a commercial relationship, mandate, financing or investment obligation, or duty to contract. Where a specific instrument exists—including a proposal, mandate, services agreement, NDA, commission or success-fee agreement, financing, investment, intermediation or structuring agreement—that instrument prevails for the matters it governs.

2. Acceptance and electronic evidence

Where an action requires acceptance of these Terms, FINNEX may obtain it through unchecked boxes, electronic signature or other verifiable mechanisms. FINNEX may retain technical evidence of the accepted version, date, time, user, entity, surface, action and other information reasonably necessary to evidence acceptance. Privacy Notices and personal-data consents are handled separately.

3. Nature of the Services

FINNEX facilitates assessment, preparation, structuring, connection, intelligence, collaboration and monitoring processes related to capital opportunities and strategic relationships.

Platform use, information upload or analysis, placement in a pipeline, a match, introduction, conversation, indication of interest or similar activity does not constitute credit approval; a financing or investment offer or commitment; a guarantee of closing, funding, return or result; personalized investment advice; an obligation to contract; a mandate, agency or fiduciary relationship; or legal, tax, accounting or investment advice.

4. Accounts, portals and security

Access to certain functions may require an account, invitation, multi-factor authentication or other controls. Users must protect credentials, keep access information current and report incidents or unauthorized access. FINNEX may suspend or restrict access when necessary to protect users, information, systems or service integrity.

5. User-provided information

Users are responsible for ensuring information they provide is lawful and, to their knowledge, accurate, current and sufficient for the relevant purpose. Users must not upload information they are not authorized to share. FINNEX may request clarification, evidence or additional documentation and may reject, limit or stop processes where information is insufficient, inconsistent or legally inappropriate.

6. Confidentiality and controlled disclosure

FINNEX applies reasonable controls to confidential information received. Information may be shared on a controlled basis with potential investors, financiers, counterparties, advisers or providers where necessary for the relevant opportunity or service, subject to applicable contractual instruments, authorizations and privacy rules.

7. Artificial intelligence and automated tools

FINNEX may use artificial intelligence, automation and analytical tools to support internal and operational processes. Outputs are support inputs and do not by themselves constitute decisions, advice, certified valuations, guarantees, approvals or definitive due-diligence conclusions. Where appropriate, material decisions remain subject to human review and applicable controls.

8. Permitted use and prohibited conduct

The Services may be used only for lawful and authorized purposes. Users must not attempt to bypass security controls, access accounts or data without authorization, interfere with service availability, introduce malicious code, automate access abusively, impersonate others, infringe third-party rights, or use the Services for fraud, deception or unlawful activity.

9. Intellectual property

Unless otherwise stated, FINNEX or its licensors retain rights in trademarks, software, interfaces, designs, methodologies, content and other elements of the Services. Access does not transfer intellectual property or grant rights beyond those necessary for authorized use.

10. Third-party services and integrations

The Services may interoperate with third-party providers or platforms. Those services may be subject to their own terms, policies, availability and controls. FINNEX does not control or guarantee third-party services, although it seeks to select and manage providers reasonably for the applicable context.

11. Availability, changes and operational security

FINNEX may modify, maintain, suspend or withdraw features for operational, technological, regulatory or security reasons. Uninterrupted availability is not guaranteed. Where reasonably possible, FINNEX will seek to manage material changes in a controlled manner.

12. Fees and commercial relationships

Fees, commissions, success fees or other economic obligations exist only where established in an applicable specific commercial instrument. Acceptance of these Terms alone does not create a payment obligation or success fee.

13. Privacy and personal data

Personal-data processing is governed by FINNEX Privacy Notices and any specific consent that applies. Acceptance of these Terms does not replace privacy, financial/patrimonial, transfer or marketing consent where such consent is legally required.

14. Suspension and termination

FINNEX may suspend or terminate access in the event of a breach of these Terms, security risk, unlawful or abusive use, legal or regulatory requirement, or where reasonably necessary to protect the platform, users or third parties.

15. Changes to the Terms

FINNEX may update these Terms to reflect legal, regulatory, operational, technological or commercial changes. The current version and date will be available in the FINNEX Legal Center. Where a material change requires renewed acceptance, FINNEX will request it before the relevant action or use.

16. Electronic communications

Users agree that communications related to Services, security, accounts, processes and documents may be delivered electronically using the contact information provided and in accordance with applicable law.

17. Governing law and disputes

These Terms are governed by the applicable laws of the United Mexican States. Unless a mandatory provision requires otherwise, the parties submit to the competent courts of Mexico City. Mandatory consumer rights and applicable protection mechanisms are not excluded by these Terms.

18. Entire terms and precedence

These Terms are read together with applicable specific instruments. If there is a conflict concerning a matter specifically governed by another valid instrument, that instrument prevails for that matter. The Spanish version is the reference version; the English version is provided for accessibility and, in the event of inconsistency, the Spanish version prevails to the extent permitted by law.
